ELECTION OF DIRECTORS; VACANCIES

Sec. 161.072. ELECTION OF DIRECTORS; VACANCIES. (a) The incorporators of an electric cooperative named in the articles of incorporation shall serve as directors until the first annual meeting of the members, and until their successors are elected and qualify. Subsequently, the directors shall be elected by the members at each annual meeting or as otherwise provided by the bylaws. (b) A vacancy on the board shall be filled as provided by the bylaws. A person selected to fill a vacancy serves until the next regular election of directors. Acts 1997, 75th Leg., ch. 166, Sec. 1, eff. Sept. 1, 1997.
