Articles of merger. — In a merger under s. 605.2604 , the articles of merger must do all of the following: (1) Comply with s. 605.1025 relating to the articles of merger. (2) Include as an attachment all of the following records, each to become effective when the merger becomes effective: (a) For a protected series of a merging company being terminated as a result of the merger, a statement of designation cancellation and termination signed by the non-surviving merging company. (b) For a protected series of a non-surviving company which after the merger will be a relocated protected series: 1. A statement of relocation signed by the non-surviving company which contains the name of the series limited liability company and the name of the protected series before and after the merger; and 2. A statement of protected series designation signed by the surviving company. (c) For a protected series being established by the surviving company as a result of the merger, a protected series designation signed by the surviving company.
