ARTICLES OF AMENDMENT

Sec. 161.152. ARTICLES OF AMENDMENT. (a) Articles of amendment of an electric cooperative must be: (1) signed by the president or vice president and attested by the secretary, certifying to the amendment and its lawful adoption; and (2) executed, acknowledged, filed, and recorded in the same manner as the original articles of incorporation. (b) An amendment takes effect when the secretary of state accepts the articles of amendment for filing and recording and issues a certificate of amendment. The certificate of amendment is evidence of the filing of the amendment. (c) The secretary of state shall charge and collect a fee of $2.50 for filing articles of amendment and issuing a certificate of amendment. Acts 1997, 75th Leg., ch. 166, Sec. 1, eff. Sept. 1, 1997.
