(a) A lawyer employed or retained by an organization represents the organization acting through its duly authorized constituents. (b) If a lawyer for an organization knows that an officer, employee, or other person associated with the organization is engaged in conduct or intends to engage in conduct (whether act or omission) related to the representation that violates a legal obligation to the organization, or that constitutes a viola- tion of law that might reasonably be imputed to the organization, and that this conduct is likely to result in substantial injury to the organization, then the lawyer shall take the steps reasonably necessary to protect the best interest of the organization. 29
